By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. DEFINITIONS

"Account" means the multi-currency account(s) established by a User with BUYEASY.
‍
"Digital Assets" means cryptocurrencies, virtual currencies, and other blockchain-based assets.
‍
"Fiat Currency" means government-issued currencies such as USD, EUR, CAD, GBP, and other traditional currencies.
‍
"OTC" means over-the-counter trading services.
‍
"On-Ramping" means the conversion of Fiat Currency to Digital Assets.
‍
"Off-Ramping" means the conversion of Digital Assets to Fiat Currency.
‍
"Transaction" means any operation involving the sending, receiving, conversion, or exchange of funds or Digital Assets.

3. ELIGIBILITY AND ACCOUNT REGISTRATION
‍
3.1 Eligibility Requirements
‍
To use our Services, you must:
● Be at least 18 years of age (or the age of majority in your jurisdiction)
● Have the legal capacity to enter into binding contracts
● Not be located in, or a resident of, any jurisdiction where our Services are prohibited
● Not appear on any sanctions lists or be subject to economic or trade sanctions administered by any governmental authority
● Comply with all applicable laws and regulations in your jurisdiction
● Not be a citizen of, resident of, nor are you located in, any jurisdiction designated by Buyeasy as a "Restricted Jurisdiction" or subject to any international sanctions regime that would prohibit your use of the Services.

3.2 Business Accounts

For business or corporate accounts, you represent and warrant that:
● You are duly authorized to act on behalf of the entity
● The entity is validly existing and in good standing
● You have all necessary corporate authorizations to enter into these Terms

3.3 Account Registration
‍
You agree to:
● Provide accurate, current, and complete information during registration
● Maintain and promptly update your account information
● Maintain the security and confidentiality of your account credentials
● Notify us immediately of any unauthorized access or security breach
● Accept responsibility for all activities conducted through your Account

3.4 Account Verification
‍
We reserve the right to verify your identity and conduct Know Your Customer (KYC) and Anti-Money Laundering (AML) checks. You agree to provide all requested documentation, which may include:
● Government-issued identification
● Proof of address
● Source of funds documentation
● Business registration documents (for corporate accounts)
● Beneficial ownership information
● Any other information required for regulatory compliance
Failure to provide required documentation may result in suspension or termination of your Account.

4. SERVICES DESCRIPTION

4.1 Multi-Currency Accounts
‍
BUYEASY provides Users with the ability to open and maintain multi-currency accounts with access to major global payment networks.
‍
4.2 Payment Services
‍
We facilitate sending and receiving payments through various payment rails including, but not limited to:
● SWIFT (Society for Worldwide Interbank Financial Telecommunication)
● ACH (Automated Clearing House)
● SEPA (Single Euro Payments Area)
● CHAPS (Clearing House Automated Payment System)
● Faster Payments
● Other payment networks as made available

4.3 Named Virtual Accounts
‍
Users may obtain named virtual accounts to facilitate payments to businesses and individuals in multiple currencies.

4.4 On-Ramping and Off-Ramping Services
‍
BUYEASY provides OTC services for converting between Fiat Currency and Digital Assets, subject to availability, liquidity, and compliance requirements.

4.5 Service Modifications
‍
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to you.

5. TRANSACTION TERMS
‍
5.1 Transaction Authorization
‍
By initiating a Transaction, you authorize BUYEASY to execute such Transaction in accordance with your instructions. You acknowledge that Transactions, once initiated, may be irreversible.

5.2 Transaction Limits
‍
We may impose transaction limits based on:
● Verification level
● Account history
● Risk assessment
● Regulatory requirements
● Operational considerations
We reserve the right to modify these limits at our sole discretion.

5.3 Fees and Charges
‍
You agree to pay all applicable fees for Services as published on our website or communicated to you. Fees may include, but are not limited to:
● Onboarding fees
● Transaction fees
● Conversion fees
● Network fees
● Wire transfer fees
● Account maintenance fees
Fees are subject to change. We will provide reasonable notice of fee changes where required by law.

5.4 Exchange Rates

For currency conversion and Digital Asset transactions, exchange rates are determined at the time of Transaction execution based on prevailing market rates. Rates may fluctuate and include our service spread. Quoted rates are indicative and may change before Transaction completion.

5.5 Transaction Processing Times
‍
Processing times vary depending on:
● Payment method
● Destination country and currency
● Verification requirements
● Network congestion (for Digital Assets)
● Banking hours and holidays
We do not guarantee specific processing times and are not liable for delays caused by third-party service providers or circumstances beyond our reasonable control.

5.6 Failed or Rejected Transactions

Transactions may fail or be rejected due to:
● Insufficient funds
● Incorrect payment details
● Compliance or regulatory concerns
● Technical issues
● Third-party restrictions
We will make reasonable efforts to notify you of failed Transactions but are not liable for any consequences arising from such failures.

6. COMPLIANCE AND LEGAL OBLIGATIONS

6.1 Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF)
‍
BUYEASY maintains a comprehensive AML/CTF compliance program. You agree to:
● Provide truthful information regarding the source and destination of funds
● Not use our Services for any illegal purposes
● Cooperate with our compliance investigations
● Acknowledge that we may freeze, suspend, or terminate your Account if we suspect illegal activity

6.2 Sanctions Compliance

You represent and warrant that you are not:
● Located in, or a resident or national of, any country subject to comprehensive sanctions
● Identified on any sanctions list maintained by Canada, the United States, the European Union, the United Kingdom, or the United Nations
● Owned or controlled by, or acting on behalf of, any sanctioned person or entity

6.3 Regulatory Reporting
‍
We may be required to report certain Transactions and activities to regulatory authorities. You acknowledge and consent to such reporting as required by applicable law.
‍
6.4 Tax Obligations
‍
You are solely responsible for determining and fulfilling your tax obligations in all relevant jurisdictions. BUYEASY does not provide tax advice. We may be required to report Transaction information to tax authorities as required by law.

6.5 Transaction Monitoring
‍
We employ automated and manual systems to monitor Transactions for suspicious activity. You acknowledge that Transactions may be delayed, suspended, or rejected based on our risk assessment.

7. PROHIBITED ACTIVITIES
‍
You agree not to use the Services to:
● Engage in any illegal activity or facilitate illegal activity
● Violate any applicable laws, regulations, or third-party rights
● Engage in money laundering, terrorist financing, or fraud
● Purchase or sell illegal goods or services
● Manipulate or attempt to manipulate any market
● Interfere with or disrupt the Services or servers
● Use automated systems (bots, scrapers) without our prior written consent
● Impersonate any person or entity
● Transmit viruses, malware, or other harmful code
● Circumvent any security features or access controls
● Use the Services on behalf of third parties without disclosure
● Engage in activities that violate sanctions or export controls
● Engage in structuring transactions to avoid reporting requirements
● Provide false, misleading, or deceptive information
Violation of these prohibitions may result in immediate Account suspension or termination and referral to law enforcement authorities.

8. INTELLECTUAL PROPERTY
‍
8.1 Ownership
‍
All content, features, functionality, trademarks, service marks, logos, and intellectual property related to the Services are owned by BUYEASY or our licensors. These Terms do not grant you any right, title, or interest in such intellectual property.

8.2 Limited License
‍
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

8.3 Restrictions
‍
You may not:
● Copy, modify, or create derivative works of our intellectual property
● Reverse engineer, decompile, or disassemble any aspect of the Services
● Remove or alter any proprietary notices
● Use our intellectual property for commercial purposes without written permission

9. THIRD-PARTY SERVICES

The Services may integrate with or rely upon third-party service providers, including:
● Banking partners
● Payment processors
● Blockchain networks
● Identity verification services
● Liquidity providers
We are not responsible for the performance, availability, or actions of third-party service providers. Your use of third-party services may be subject to separate terms and conditions.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Service Availability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.
We do not warrant that:
● The Services will be error-free or uninterrupted
● Defects will be corrected
● The Services are free from viruses or harmful components
● Results obtained from the Services will be accurate or reliable

10.2 Market Risks
‍
Digital Assets are highly volatile and speculative. You acknowledge and accept all risks associated with:
● Price volatility
● Market manipulation
● Regulatory changes
● Technological failures
● Loss of access to Digital Assets
BUYEASY does not provide investment advice and makes no recommendations regarding the purchase or sale of Digital Assets.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYEASY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
● INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
● LOSS OF PROFITS, REVENUES, DATA, OR USE
● BUSINESS INTERRUPTION
● MARKET FLUCTUATIONS OR TRADING LOSSES
● DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR FAILURES
● DAMAGES EXCEEDING THE FEES PAID BY YOU TO BUYEASY IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not BUYEASY has been advised of the possibility of such damages.

10.4 Jurisdictional Limitations
‍
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. INDEMNIFICATION
‍
You agree to indemnify, defend, and hold harmless BUYEASY, its affiliates, and their respective directors, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
● Your use or misuse of the Services
● Your violation of these Terms
● Your violation of any applicable laws or regulations
● Your violation of any third-party rights
● Any misrepresentation made by you
● Any Transaction initiated through your Account
This indemnification obligation survives termination of these Terms.

12. DISPUTE RESOLUTION
‍
12.1 Governing Law
‍
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
‍
12.2 Arbitration
‍
Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by the ADR Institute of Canada in accordance with its Arbitration Rules.
The arbitration shall be conducted in English in Toronto, Ontario. The arbitral tribunal shall consist of one arbitrator. The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court having jurisdiction.

12.3 Exceptions to Arbitration
‍
Notwithstanding the foregoing, either party may:
● Seek injunctive or equitable relief in any court of competent jurisdiction
● Pursue claims in small claims court if eligible
● Report suspected criminal activity to law enforcement

12.4 Class Action Waiver
‍
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12.5 Time Limitation

Any claim or cause of action arising from or related to the Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

13. SUSPENSION AND TERMINATION
‍
13.1 Suspension
‍
We may suspend your Account and access to Services immediately and without prior notice if:
● We suspect fraudulent, illegal, or suspicious activity
● You violate these Terms
● Required by law, regulation, or court order
● We identify a security threat
● Your Account shows signs of unauthorized access
● We are unable to verify your identity or documentation
● You fail to respond to compliance requests

13.2 Termination by BUYEASY
‍
We may terminate your Account and these Terms at any time, with or without cause, by providing written notice. Reasons for termination may include, but are not limited to:
● Material breach of these Terms
● Provision of false or misleading information
● Engagement in prohibited activities
● Risk management decisions
● Regulatory or compliance concerns
● Business or operational reasons

13.3 Termination by User
‍
You may terminate your Account at any time by:
● Submitting a written termination request
● Withdrawing all funds from your Account
● Completing all pending Transactions

13.4 Effects of Termination
‍
Upon termination:
● Your right to use the Services immediately ceases
● You must immediately settle all outstanding obligations
● You must withdraw all funds (subject to applicable holding periods)
● We may retain your information as required by law or for legitimate business purposes
● Sections of these Terms that by their nature should survive shall remain in effect

13.5 No Liability
‍
BUYEASY shall not be liable to you or any third party for suspension or termination of your Account or access to Services.

14. PRIVACY AND DATA PROTECTION
‍
14.1 Privacy Policy
‍
Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our Privacy Policy.

14.2 Data Security
‍
We implement reasonable security measures to protect your information. However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your Account credentials.

14.3 Communications
‍
By creating an Account, you consent to receive communications from us via email, SMS, or other electronic means. These communications may include:
● Transaction confirmations
● Account notifications
● Security alerts
● Service updates
● Marketing communications (where you have opted in)
You may opt out of marketing communications but cannot opt out of transactional or Account-related communications.

15. FORCE MAJEURE

BUYEASY shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to:
● Acts of God (earthquakes, floods, fires)
● War, terrorism, civil unrest
● Government actions, laws, or regulations
● Labor disputes or strikes
● Failure of third-party service providers
● Power outages or telecommunications failures
● Blockchain network failures or congestion
● Cyber attacks or security incidents
● Pandemics or public health emergencies
During a force majeure event, our obligations shall be suspended for the duration of the event.

16. GENERAL PROVISIONS

16.1 Entire Agreement
‍
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BUYEASY regarding the Services and supersede all prior agreements and understandings.

16.2 Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
● Posting the revised Terms on our website
● Sending an email notification to your registered email address
● Displaying a prominent notice on our platform
Your continued use of the Services after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must cease using the Services.

16.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and BUYEASY. You have no authority to bind BUYEASY or make representations on our behalf.

16.7 Headings
‍
Section headings are for convenience only and do not affect the interpretation of these Terms.
‍
16.8 Language
‍
These Terms may be translated into other languages for convenience. In the event of any conflict, the English version shall prevail.

These Terms do not confer any rights or remedies upon any person other than you and BUYEASY.

All provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and general provisions.
